The websites, Center for Optimization Algorithm Platform (hereinafter collectively referred to as the "Product"), are owned and operated by Shanghai University of Finance and Economics (hereinafter referred to as "SUFE" or "we"). The accounts on the platform are owned and operated by us. The registered users of the Product (hereinafter referred to as the "users" or "you") may use the accounts to log in and use our relevant Products. This Agreement is a contractual document entered into by and between us and you.
Please be sure to read this Agreement carefully before registering to be a user of the Product. If you disagree with any content of this Agreement or cannot understand our interpretation of the terms and conditions accurately, please do not proceed with any subsequent operation; if you register to be a user of the Product, you represent that you have fully read the entire content of this Agreement and acknowledge and agree to abide by it. Meanwhile, you shall warrant to abide by the provisions of laws, regulations, rules and other government regulatory documents of China. If any violation of the aforesaid provisions results in any legal consequences, you shall bear all corresponding legal liabilities in your own name.
If you are under 18 years old, please read carefully and fully understand this Agreement in the company of your guardian, and use the Product and relevant services after obtaining consent from your guardian.
We reserve the right to formulate and amend this Agreement or various regulations from time to time based on actual needs. The amended Agreement and regulations will automatically take effect upon promulgation. The new agreement and regulations are binding upon the users who register after the effective date of the new agreement and regulations. For the users who register before the effective date of the new agreement and regulations, if the users continue to use any services of the Product after the effective date of the new agreement and regulations, it shall be deemed that the users have fully read and acknowledge and agree to abide by the new agreement and regulations. If the users refuse to accept the new agreement and regulations, the users shall have the right to abandon or terminate any services of the Product. However, the users shall bear any legal liabilities for the transactions that have been conducted and shall comply with the effective agreement and regulations at the time when the transactions take place for the users.
I Definitions and Interpretation
1、Center for Optimization Algorithm Platform: refers to a a free online service platform for solving numerical optimization problems.
2、Users: the "users" mentioned in this Agreement means the users who accept all terms and conditions of this Agreement after reading this Agreement. The users may use the services of the Product by registering and logging in the account.
3、Platform Account: means the mark operated by us for identifying the users' identity. The platform accounts are owned by us. Subject to your compliance with this Agreement, we shall grant you a limited, non-exclusive, revocable, non-transferable and non-sublicenseable right to facilitate your use of the platform accounts registered by you; you shall bear legal liability for all acts conducted under the platform accounts.
4、Affiliate: means any party that directly or indirectly controls, is controlled by or is under common control with SUFE. The terms "controlling" and "controlled" herein mean the right to direct the management policies of a party through voting or otherwise, respectively.
5、Account Password: means the password corresponding to the user account that you are entitled to after completing the registration of real information.
II "Platform Accounts"
1、 Registration of Account
(1) You may apply for an account for authorized login for the use of this Product. Your account is the email or account name registered by you. Your account is registered by means of activate the email or sending the verification code. You may login by account name + password. The account you set up is the certificate for you to log in and use the Product as a registered user.
(2) You understand and promise that the account you set up shall not violate the national laws and regulations and our relevant rules. Your account name, profile and other personal information and data (collectively the "information") shall not contain any illegal or offensive information. The relevant information is true, accurate, legal and valid. You will maintain and update the information in a timely manner. Without the consent of others, you shall not open an account in the name of others (including, without limitation, using others' name, trade name, avatar and other confusing ways), register an account in bad faith (including, without limitation, frequent registration, bulk registration) or use an account not registered by you to access or use any products or services provided by SUFE. Otherwise, you shall bear all the liabilities arising from the violation of the above requirements, and SUFE reserves the right to take action against the above violators for legal liabilities. You shall comply with the relevant laws and regulations during the registration and use of the account, and shall not take any action that damages national interests, damages legitimate rights and interests of other citizens or damages social morals. We have the right to audit the registration information submitted by you.
(3) You shall ensure that you fill a valid email address or telephone number when registering/logging in the account, and complete the account registration by an activation email or verification code. If the email address or telephone number you fill in is incomplete or inaccurate, you may not be able to use the Product or may be restricted in the use of the Product.
(4) You shall ensure the authenticity of the information you provide during the registration. Please use true, accurate, lawful and valid relevant information certification materials and necessary information, especially email address, telephone number and other contact information provided by you, when you register and manage your account. If any materials or information submitted by you is inaccurate, untrue or illegal, or we have reasons to suspect to be incorrect, untrue or illegal, we shall have the right to refuse to provide services to you or you may not be able to use the Product or may have part of functions restricted in the use of the Product. If you find any of the aforesaid circumstances after the registration, SUFE shall have the right to take unilateral measures such as rectification within a prescribed time limit, suspension of use or termination of the account without notice. If the information you provide is untrue, inaccurate or not updated or you cannot be contacted through the information, all the liabilities (including, without limitation, any losses or increased costs) incurred in the process of your use of the Product or Service shall be borne by you.
2、Use of Account
(1) The ownership and relevant interests of your registered account in the Product shall be owned by us. After completing the registration procedure, you shall only have the right to use the account. You shall correctly and appropriately use, operate and manage the account of the Product. You shall be responsible for all the consequences of actions (including, without limitation, signing various agreements online, issuing information, using the service and disclosing information) under your registered account. All the actions conducted under your registered account shall be deemed as your actions, for which you shall assume all the liabilities. If you suffer any losses as a result thereof, you shall assume all the liabilities on your own. If SUFE suffers any losses as a result thereof, you shall indemnify us in full.
(2) You acknowledge and agree that your registered account is linked with your personal information and the commercial information of SUFE. Therefore, your account shall be used by yourself only. Without our written consent, you are prohibited from donating, lending, leasing, transferring, selling or otherwise licensing the account to others in any form. If we find or have reasonable grounds to believe that the account user is not you, we shall have the right, without notice to you, to rectify within a prescribed time limit, suspend or terminate the provision of services to such registered account and deregister such account at any time and without bearing any legal liabilities to you. SUFE shall have the right to keep any evidence of such acts and report such acts to the relevant regulatory authorities.
(2) You shall be responsible for maintaining the security and confidentiality of your individual account and assume all the legal liabilities for the activities conducted in the name of the registered account, including, without limitation, any data modification, speech publication and other operations conducted by you through the Product. You shall pay great attention to the confidentiality of your account and shall not disclose your account to any other person under any circumstances. If you find any unauthorized use of your account by any other person or any other occurrence of any security breach, you shall notify us immediately.
3、Account Custody and Retrieval
(1) You shall properly keep your registered account, password and related information of this account (including, but not limited to, information of the devices logged in with this account, order information and operation records, etc.), and change your password regularly. You shall not share such information with any other person. Please be aware that we will not actively request you to provide your account password at any time. We strongly recommend that you choose a password with high security level and take proper measures (including, but not limited to, installing anti-virus and Trojan horse software, changing your password regularly, etc.) to protect your account information and password. If you provide the above information to a third party or lose your mobile phone or other devices, resulting in information disclosure, any loss and liability arising therefrom shall be borne by you.
(2) If your account is lost, you may timely appeal and request to reset your password by following our appeal procedures. You shall understand and acknowledge that our password reset mechanism only requires you to enter your registered email address and send a verification code according to the email instructions to reset your password. If the registered email information you provide is untrue or incomplete, which results in that we are unable to judge your demand and fail to process it in time, or if your registered email password is leaked, all the losses arising therefrom shall be borne by you. Meanwhile, you shall understand that we require a reasonable period of time for our response and taking of measures. We shall not be liable for any losses not caused by our team.
(3) We especially remind you to properly keep your account. When you have finished using your account, you shall safely log out. If you find your account has been illegally used by others, you shall immediately notify SUFE. The illegal use of user accounts and passwords by others on the Internet may due to hacking or negligence of users. You shall fully understand and agree that SUFE has nothing to do with such circumstances, and SUFE shall not be liable for the occurrence of such circumstances. You shall be fully liable for any losses and consequences caused by your failure to maintain information security and confidentiality (such as active disclosure) or by others' attack, fraud and other activities; if SUFE or other users or visitors suffer losses as a result thereof, you shall be fully liable for compensation for such losses. If your account is used by any of the aforesaid third parties or occurs any other issues, you shall have the obligation to promptly notify us (including, but not limited to, providing your identity information and relevant identity information, relevant facts and your requests, etc.).
(4) If you have information of an account not registered by you, you shall not log in or make any operations with such account, and please immediately notify SUFE or the original applicant of such account.
(5) To protect your and our interests, we shall have the right to review relevant materials submitted by you (such as identity card photo held by natural person, copy of business license of legal person, copy of public institution certificate) and to decide whether to approve your application, and to request you to provide statement/explanation, service qualification, scope of service and other materials as the case may be. If you refuse to provide materials or submit materials or fill in false, inaccurate, incomplete or illegal information, you may not be able to use the Product or be restricted in using it. Our review does not mean that we are responsible for the authenticity, accuracy, authenticity and legality of the materials and information submitted by you. You shall be solely liable for such materials and information.
(6) In order to provide better service to you, we shall have the right to classify and manage the users using the product, and to set the corresponding permissions and provide the corresponding services based on the classification level.
4、Account Deregistration
You shall have the right to deregister your account on the platform. You may apply for account deregistration by logging in to the registered account, and then clicking on "personal settings" to submit an account deregistration application. For security purposes, we may need you to provide some means to prove your identity and the legitimacy of your request. After you successfully deregister your account, we will delete your personal information or anonymize your name as soon as practicable in accordance with the requirements of laws and regulations.
III Updates of the product
In order to improve user experience and services, we will constantly strive to develop new services and provide you with updates of the product from time to time (such updates may take the form of modifications, feature enhancements, version upgrades, etc.).
IV Contents of the service of the product
1、You may be able to use the product in the form of web pages or through terminals such as computers, mobile phones, etc., subject to the information provided by SUFE. Meanwhile, SUFE will continuously enrich the terminals and forms for you to use the software. When you use the product, you should choose the version of the product that matches your terminal, system, etc. Otherwise, you may not be able to use the product normally.
2、Services provided to you
(1) The product is currently supported by many domestic and foreign scientific research institutes and enterprises, aiming to providing you with optimization algorithm services;
(2) If the original text provided by the user is illegal, against the public order or good customs, involves infringement of rights or there are other circumstances that SUFE deems inappropriate to accept the entrustment, we have the right to reject the application without assuming any liability. Our rejection will be notified to the user by order prompt, text message or other means.
(3) We will return the solution results through the product according to the email or account console interface provided with the original documents, for which you can download or use in other ways.
(4) After the completion of the service, we have no obligation to keep the documents related to the order submitted by you. If the text is lost due to your personal reasons (including but not limited to accidental deletion, account problems, mobile phone system problems, virus and other factors), we will not provide retrieval service and will not assume any liability.
V User’s Use Standards
1、We authorize you to use the product for non-commercial purposes, but for commercial use (including but not limited to sale, reproduction, distribution, pre-installation, bundling or use in other commercial activities), you must obtain our prior written authorization and permission.
2、You may consult us about the download, installation, use or unload of the product. Our obligation to answer questions shall not exceed our reasonable limits. If you have any comments about the product, or have suggestions on how to improve it, please contact us.
3、Users fully understand and agree that the information uploaded, shared, disseminated by users of the product does not represent our views and we are not responsible for it.
4、You are not allowed to modify, reproduce or disseminate the materials related to the product. If you reproduce, modify or disseminate these materials and thus cause damage to others, or cause damage to our image, you shall bear the corresponding legal liability. You are not allowed to delete, cover up or modify our copyright notice, trademark notice or other rights notice.
5、The behavior that the users release, disseminate and share pictures, words and other information through using the product means that the users have the right and agree to grant us, in perpetuity and free of charge, the following rights throughout the world: the right to use, release, reproduce, modify, adapt, publish, translate, create derivative works, disseminate, perform and display such information; the right to incorporate all or part of the information into any other works, media or technology in any form; the right to commercially exploit the information uploaded or published by the users; the right to provide download, video-on-demand and data transmission of information and relevant publicity and promotion services through wired or wireless network to the users' computer, mobile communication terminal (including but not limited to portable communication devices such as mobile phone and smart tablet PC).
6、When uploading, releasing or spreading symbols, texts, pictures and other contents on the Products, the users shall ensure that such contents do not violate laws, regulations and their normative documents, nor infringe upon the legal rights and interests of any third party; otherwise, all the adverse consequences shall be borne by the users themselves, and the users shall bear the liability for compensation if any loss is caused to us. If any right holder claims against us due to the user's breach of this section, we have the right to directly delete, disconnect or block the relevant disputed contents without notice to the uploading user.
7、The users shall ensure that they will not use the product to infringe our or other's legal rights and interests, and are prohibited from using network bugs, malicious software or other illegal means to destroy the normal operation of the platform. Otherwise, we have the right to freeze or suspend the user and its account in accordance with the seriousness of the case. If the violation constitutes a crime, we have the right to transfer the case to the judicial department.
8、The users undertake and agree to strictly comply with the Cyber Security Law and other relevant laws and regulations of People's Republic of China when registering and using account and any other products. You agree that you will not use your account to conduct or facilitate any illegal or improper activities, including but not limited to the following:
(1) Use any plug-ins, plug-ins, systems or third-party tools that are not authorized or licensed by us to interfere with, destroy, modify or otherwise affect the normal operation of the product.
(2) Use or conduct for the purpose of this product to endanger the computer network security, including but not limited to:
(a) Illegally invade others' network, interfere with the normal functions of others' network, steal network data and carry out other activities endangering network security;
(b) Provide programs and tools specially used for network invasion, interference with the normal functions and protective measures of the network, steal network data and carry out other activities endangering network security;
(c) Provide technical support, advertisement promotion, payment and settlement and other assistance to others who are engaged in the activities endangering network security with knowledge of them;
(d) Use unlicensed data or access unlicensed server/account;
(e) Enter into the public computer network or computer system of others to delete, modify or add stored information without permission;
(f) Attempt to explore, scan or test the weakness of the service system or network or take other actions to destroy the network security without permission;
(g) Attempt to interfere with or destroy the normal operation of the system or website of the service, spread malicious programs or viruses on purpose or take other actions to destroy or disturb the normal network information service;
(h) Forge the name or part of the name of the TCP/IP packet.
(3) Reverse engineer, disassemble, decompile or otherwise attempt to discover the source code of the Product.
(4) Register the account for the Product in bad faith, including but not limited to frequent registration of account in large quantities.
(5) Copy, modify all or part of the Product, or allow the Product or any part thereof to be combined with or incorporated into any other programs.
(6) Access or attempt to access or damage the product or any part thereof without authorization, or damage any part thereof.
(7) Disassemble, decompile or reverse develop the product or any part thereof, or create derivative works based on the product or any part thereof, or attempt to engage in similar activities which are prohibited by applicable law.
(8) Submit or otherwise provide the product (including the subject matter and the source code) in whole or in part to anyone in any form without our prior written permission.
(9) Use the product (or any part thereof) in any way which is unlawful or in breach of this Agreement, or commit any fraudulent or other malicious acts, including but not limited to hacking the Product (or the web address which links the Product) or any operating system or seeding them with malicious code, including viruses or harmful data.
(10) Infringe our or any third party's intellectual property rights when accessing and/or using the Product.
(11) Collect information about the user of the Product, or use automated means to access the Product, or attempt to decipher or extract any content from the server on which the Product runs.
(12) Develop, support or use software, devices, scripts or any other means or processes (including crawlers, plug-ins or any other technical or manual operations) to scrape or otherwise copy user information and other data from the Product.
(13) Do not produce, reproduce, upload, publish or disseminate any of the following information that is prohibited by laws and administrative regulations:
(a) Oppose the basic principles determined by the constitution;
(b) Compromise national security or divulge state secrets;
(c) Subvert state power, overthrow the socialist system, incite to split the country or undermine national unity;
(d) Harming the honor and interests of the state;
(e) Advocate terrorism or extremism;
(f) Content that propagates ethnic hatred or discrimination, or undermines ethnic solidarity;
(g) Instigating regional discrimination or hatred; or
(h) Undermine national religious policies or advocate heresy or superstition;
(i) Fabricate or disseminate rumors or false information to disrupt economic and social order or undermine social stability;
(j) Advocate or disseminate violence, pornography, gambling, homicide or terror or instigate others to commit crimes;
(k) Infringe the legitimate rights and interests of minors or harm the physical and mental health of minors;
(l) Secretly photographing or recording another person without his/her permission and infringing upon the legitimate rights of that person;
(m) Contain terrorist, violent, bloody, highly dangerous or harmful to the physical and mental health of the performer or others;
(n) Compromise cyber security or use the network to engage in activities that endanger national security, honor or interests;
(o) Insult or defame others or infringe others' legitimate rights and interests;
(p) Carry out human flesh search by violence, intimidation or threat against others;
(q) Involve others' privacy, personal information or data;
(r) Spread obscenities and damage the social public order and good customs;
(s) Infringe others' legitimate rights and interests such as privacy, reputation, portrait, intellectual property, trade secrets, etc.;
(t) Promote or release advertisement by using the Product for themselves or the third party (including but not limited to joining the third party's links, advertisements, etc.) without our permission;
(u) Excessive marketing information, harassing information and/or spam, information in the vulgar category, spam advertisement;
(v) Create, reproduce, upload, release or disseminate the content, message or comment in languages other than those commonly used in the Product;
(w) Conduct anything not related to the content, message or comment created, reproduced, uploaded, released or disseminated;
(x) Publish or disseminate the content meaningless or deliberately use character combinations to avoid technical review;
(y) Violate laws, regulations, policies and public customs, interfere the normal operation of the platform that cooperative with this Product or infringe the legitimate rights and interests of other users or third parties.
(14) Attempt to violate this Agreement (or any part thereof), or facilitate or encourage such violation.
VI Statement of Rights and Confidentiality
1、The intellectual property rights in our products and all information content associated with the Products (including but not limited to text, video and audio, photographs, icons, applications, designs, software, scripts, programs, copyrights, trademarks, trade names, logos and other materials and services, and the outlook and feel including the foregoing) shall be our property. Your access to and/or use of the Products as provided in this Agreement shall not constitute an authorization or transfer of any ownership or other rights in the Products or content thereof to you or anyone else.
2、We grant you a revocable, limited, non- exclusive and non-transferable right to use the Products solely for the purpose of non- commercial use of the Products.
3、You warrant, represent and undertake to respect our intellectual property rights and shall not, without our prior written consent, use our intellectual property rights in any form beyond the scope agreed upon in this Agreement. You undertake that you will not, on your own behalf or cause any third party to, or agree or permit any third party to, apply, in any jurisdiction, in any manner, for a trademark, domain name, wireless website, internet search term or any trade name or service mark similar to our trademarks. If any of the above occurs, you are required to assign to us all of your rights in connection therewith at your own expense. If we suffer any loss as a result of your breach of this clause, you shall be fully liable for such loss.
4、The intellectual property rights and ownership of the words, documents, pictures, videos, software or other information that you publish, upload, publish or otherwise transmit by using your account on the platform shall belong to you. However, you acknowledge that your publication, upload and transmission of such information constitutes our non-exclusive, perpetual and irrevocable grant of the right of use, reproduction and other rights relating to all intellectual property rights relating to such information, and you agree that we may sub-license the above rights.
5、You shall ensure that all the information published by you through your account on the platform shall not infringe upon the legal rights of any third party, including but not limited to intellectual property rights, privacy rights and portrait rights. You shall not upload, publish, modify, transmit or copy in any way any legally protected materials, trademarks or proprietary information belonging to others without the prior written consent of the right owner (s). If we receive appropriate notice to SUFE from any right owner(s) or their legal representative(s), we will remove such infringing content(s) upon review.
6、Confidentiality
(1) We shall endeavor to protect your information from unauthorized access, use or disclosure by taking protection measures. It is our and your responsibility to maintain the security and normal use of the service. We shall take appropriate security measures and technical means to maintain the Product.
(2) You understand and agree that we shall not be liable for any information disclosure that is not due to our man-made reasons, for example, as a result of natural disaster, theft, robbery, hacker attack, etc.
(3) We will not be subject to the confidentiality obligations under the following circumstances:
(a) The information, voice mail, video and scripts you provide come into public domain not for our reason;
(b) The disclosure is required by laws and regulations, administrative or judicial authorities or other competent authorities;
(c) Have obtained your prior authorization;
(d) For the purpose of detecting, preventing or dealing with fraud, security or technical problems;
(e) For the purpose of implementing relevant service agreements or this Agreement and safeguarding social and public interests;
(f) For the purpose of protecting the personal or property security or other legitimate rights and interests of our or our affiliates, other users or employees and other uses with reasonable and necessary purposes.
VII Advertisement
1、You understand and agree that in the process of using this Product, we may send to you other product promotion information, including but not limited to product promotion information. Please understand and agree that this may cause any disturbance to you.
2、We shall perform relevant obligations to advertisers in accordance with the provisions of laws and relevant cooperation agreements. You shall judge the authenticity of advertising information by yourself and be responsible for your own judgment. Except as otherwise expressly provided by laws, any loss or damage suffered by you due to transactions conducted based on such advertising information or the contents provided by advertisers as mentioned above shall be at your own risk.
3、You agree that you shall prudently judge the authenticity and reliability of any advertising information appearing in this Product. Except as otherwise expressly provided by laws, you shall be responsible for transactions conducted based on such advertising information.
VIII Representation of No Guarantee
1、Although this Product (including any upgraded version) has passed our detailed testing, we cannot guarantee that it is fully compatible with all hardware, software and systems. If any incompatibility occurs, you may notify us of the situation for technical support. If we are unable to solve the problem, you may choose to stop using the Product.
2、We provide the Product to you on an "as is" and "as available" basis without any promise, warranty or guarantee. To the maximum extent permitted by applicable law, we do not warrant or warrant that our service will meet your requirements, nor do we warrant the timeliness, safety or accuracy of the Product. We shall not be liable for any loss or damage caused by any reliance on or use of our service in whole or in part or by your (or anyone else's) access to and/or use of information obtained through the Product.
3、We make no warranty of any kind, express or implied, with respect to the following matters:
(1) The relevant online service provided for this Product under this Agreement shall meet the requirements of the users;
(2) The relevant online service provided for this Product under this Agreement shall not be affected by force majeure, computer virus, hacker attack, system instability, user's location, user's shutdown, reasons of telecommunication department, and any other network, technology, communication lines and other external or human factors;
4、To the maximum extent permitted by applicable law, we shall not be liable for any of the following circumstances:
(1) Any liability or loss caused by your improper use, violation of law or breach of this Agreement;
(2) Any interruption of services due to force majeure (including but not limited to acts of God, strikes or disturbances, insurrections, acts of war, government actions, hacker attack, virus, power failure, failure of communication or other facilities, or serious injury or death accidents);
(3) Any suspension or termination of services due to maintenance or upgrades we perform on the system, hardware or software;
(4) Communications delays or failures to systems or networks not owned or controlled by us;
(5) Errors or interruptions caused by hacker attacks or similar security effects; or
(6) other factors not attributable to us or other reasons beyond our reasonable control.
5、In no event will we be liable to you or any third party for any indirect, consequential, exemplary, incidental, special or punitive damages arising out of this Agreement.
6、You may choose to link your platform account with your existing third party account. We shall not be liable for any losses caused to you by third parties.
7、Third party products and services
(1) If you log on to third party services with your platform account, we strongly recommend that you carefully read and fully understand the third party agreement and privacy policy. SUFE has no right or obligation to review or control the products or services provided by third parties. Therefore, SUFE does not guarantee the security, accuracy, effectiveness and other uncertain risks of such third party's products or services, and will not make any representations, warranties or guarantees for such third party's products or services. If any dispute or damage is caused by your use of third party's products or services, you shall bear your own liability and we shall not be liable.
(2) You acknowledge and agree that, if you use the products or services provided by third parties to which links and labels provided by the Products, you shall comply with the provisions of this Agreement and the third party's user agreement. Disputes that may occur in your use of the products or services provided by third parties shall be settled by you at your own risk.
IX Privacy Protection
The relevant terms of privacy protection shall be subject to the Privacy Policy of SUFE.
X Breach of Contract
1、With respect to your breach of this Agreement or other service terms, we shall have the right, in our sole discretion, to take measures such as giving advance warning, refusing to publish, requesting rectification, immediately ceasing to provide services, deleting contents, suspending updates, restricting part or all of your account functions or even permanently closing your account. We shall have the right to announce the results of handling and decide whether to resume the use in accordance with the actual situation. We shall keep relevant records of suspected violations of laws and regulations or crimes, and shall report to and cooperate with relevant competent authorities in accordance with the law.
2、You shall bear all legal liabilities for any complaint or litigation claim lodged by a third party due to your breach of this Agreement or other service terms. If we and our affiliates and controlling parties pay any compensation to any third party or are punished by state authorities due to your violation of laws or breach of contract, you shall fully compensate us and our affiliates and controlling parties for all the losses suffered thereby.
3、You agree to indemnify and hold SUFE, its officers, directors, shareholders, successors in interest, employees, agents and affiliates harmless from and against any penalties, judgments, settlements, requests, losses, liabilities, claims or expenses (including but not limited to fines, indemnities, compensation, attorneys' fees, litigation costs, appraisal costs, travel expenses, enforcement costs, etc.) asserted against us by administrative authorities, judicial authorities or any third party arising out of or relating to your violation of laws and regulations, this agreement and/or other agreements and rules of SUFE.
4、We shall respect and protect the intellectual property rights, rights of reputation, rights of name, rights of privacy and other legitimate rights and interests of legal persons and citizens. You shall ensure that the words, pictures, links uploaded in the use of the Product will not infringe any third party's intellectual property rights, rights of reputation, rights of name, rights of privacy and other legitimate rights and interests. Otherwise, we shall have the right to remove such suspected infringing contents upon receipt of the notice from the right holders or related parties. You shall bear all legal liabilities for all claims raised by third parties; if we and our affiliates and controlling parties suffer losses (including economic losses and goodwill losses) due to your infringement, you shall fully compensate us and our affiliates and controlling parties for all the losses suffered thereby.
5、You fully understand and agree that we shall have the right to punish the acts violating relevant laws and regulations, this Agreement and/or other agreements and rules based on our own discretion, and shall not bear any liabilities for the impact thereof for you. If you suffer legal liabilities or losses due to this, you shall bear such liabilities on your own.
XI Change, Interruption and Termination of Services
1、You shall understand and agree that the Product and related services provided by us are provided "as is" based on current technology and conditions. We shall use our best efforts to provide services to you, and ensure the continuity and security of the services. You shall understand that we cannot at any time foresee or prevent technical and other risks, including, without limitation, the interruption of service, data loss and other losses and risks caused by force majeure, viruses, Trojan horses, hacker attacks, system instability, defective third party services and other security issues of all kinds.
2、You shall understand and agree that for the sake of the overall operation of the services, we shall have the right to modify, interrupt, suspend or terminate the services for the Product after public notice and shall not be liable to you or bear any liability for compensation.
3、We shall have the right to terminate this Agreement by giving you prior notice within 30 days ahead.
4、You may terminate this Agreement by deregistering your account on the platform.
5、We may suspend or terminate the account services on the Platform provided to you or terminate this Agreement at any time in accordance with the applicable laws. We shall endeavor to notify you of the aforesaid actions. However, we may immediately suspend or terminate the account services on the Platform provided to you or terminate this Agreement without prior notice in any of the following circumstances:
(1) You violate or SUFE has reasons to believe that you will violate relevant laws and regulations;
(2) You violate or SUFE has reasons to believe that you will violate this Agreement and/or other agreements and rules of SUFE;
(3) You engage in or SUFE has reasons to believe that you have engaged in fraudulent activities, or provided SUFE with false or misleading information;
(4) As a result of your infringement, SUFE receives a request or notice from a claimant;
(5) Respond to requests from law enforcement agencies or government agencies in accordance with valid legal procedures;
(6) Perform urgent system or hardware maintenance updates;
(7) Unforeseeable technical, safety or business reasons.
XII Notice and Delivery
1、If you have any comments or suggestions in the process of using this Product, please contact us through the methods mentioned in Chapter 2, Section 2 and we will give you feedback in a timely manner. You shall ensure that your contact information is available to receive phone calls or information from us. We shall not be liable for any loss caused by your failure to receive such phone calls or information.

3、To ensure our efficient handling of your question and providing you with feedback in a timely manner, you are required to submit your identity certificate, valid contact information and written request and other relevant evidence. We will process your request after verifying your identity. In general, we will reply to your request within 20 working days.
4、When you register your account on the platform, your contact information (including your email address and mobile phone number, etc.) will serve as the channel through which SUFE delivers various notices to you, and the content of such notices may have material effect on your rights and obligations. Please pay attention to it in a timely manner. If the contact information provided by you cannot be used or we are unable to deliver any notice to you due to any reason, any risk or loss arising therefrom shall be borne by yourself.
XIII Others
1、The execution, performance and interpretation of this Agreement and the settlement of any disputes arising hereunder shall be governed by the laws of China, and shall be subject to the jurisdiction of the courts of China. In the event of any dispute arising from the contents of this Agreement or its execution, the parties shall try their best to resolve it through consultation in a friendly manner. If such consultation fails, either party may initiate legal proceedings in the people's court of the place where SUFE is located.
2、To the extent not contrary to any applicable laws and regulations, this Agreement shall be interpreted by SUFE.
3、This Agreement constitutes the entire agreement between the Parties with respect to the matters set forth herein and other relevant matters, and no other rights are granted to the Parties hereto except as provided for herein.
4、If any term in this Agreement becomes invalid or unenforceable in whole or in part due to any reasons whatsoever, such term will be excluded from this Agreement, but the invalidity of such term will not affect the validity of the remaining terms of this Agreement. The remaining terms of this Agreement will remain valid and binding.
5、The use of the service is limited in mainland China only. If you use the service outside mainland China (especially European Union) without authorization, we will not bear any liability arising therefrom.
6、This Agreement takes effect as of the date when you agree to check or sign online and successfully register as a user of this platform. Unless we terminate this Agreement or a user ceases his/her qualification as a user of this platform or deregisters his/her account, this Agreement will remain effective. The termination of this Agreement will not release users from their obligations and liabilities according to this Agreement or other relevant agreements and rules.
